Although the vast majority of law students take a corporations or basic business organizations course, there are surprisingly few attempts to systematically organize the most important doctrine and theories covered. Of the few books that track the basic business law course, even fewer still are of recent vintage. This book attempts to fill those lacunas by giving the reader a sense of the theory and history of business law along with providing a thorough review of doctrine. Mastering Corporations and Other Business Entities is intended to reach students in the basic Corporations or Business Organizations courses. This concise book attempts to make the core coverage of these courses agency principles, partnership law, fiduciary duties, securities fraud, and changes in corporate control as easy and straightforward as possible. Additionally, this book would be a useful resource to students in related law school courses, such as Agency and Partnership, Closely-Held Firms, Mergers and Acquisitions, and Securities Regulation. Mastering Corporations and Other Business Entities may also be helpful to both the graduate student in business administration who is enrolled in a basic business law course and the newly-minted corporate attorney who wants a refresher text.

Mastering Corporations and Other Business Entities takes a complex (and some might say less than scintillating) subject and makes it easily accessible, understandable and even very interesting! Not a single word is wasted by the author’s lucid, uncluttered writing style. I especially like how he uses real cases with interesting facts to highlight key points. Each chapter starts with a “roadmap” setting forth the basic points to be covered, then ends with a list of “checkpoints” that serve to help imprint the key rules just covered. So readers know where they’re going and where they’ve just been, enhancing both understanding and retention of the material. This book will give you an edge in mastering your law school courses in Corporations and Business Organizations.

I bought this book to supplement my readings for class. I would read the assigned cases and then read the chapter in this book pertaining to the class material. This book helped me very much. It was good for an overall grasp of certain topics. Also, it referenced some cases that we did not read in class, but were helpful to distinguish certain nuances.

I love the “Mastering” series in general. Buy any book from them. I’ve purchased 3 during my 2L year alone. I wish I knew about these for my first year of law school :(

Law students will appreciate the organization and clarity of this text. It’s a great aid in creating an outline, and the “checkpoints” at the end of each chapter provide very quick review of prior material. The author references relevant cases and codes throughout the text, explaining them clearly enough that reading them yourself isn’t really necessary for understanding his point.

I find this book useful both before class to get a “big picture” understanding of the upcoming material and as a review of completed course material. It’s short and comprehensive enough that reading it twice is not a time-waster.

Five stars for organization, clarity of expression, and usefulness.
